Terms & Conditions

Last updated: October 3, 2026

1. Who you are contracting with

These Terms & Conditions ("Terms") are an agreement between you and FlagChalk LLC ("FlagChalk", "we", "us"), the seller and operator of the FlagChalk platform at flagchalk.com. By creating an account or continuing to use the service, you agree to these Terms. If you use FlagChalk on behalf of a team, league, or organization, you confirm you have the authority to bind that organization; if you are an individual, you confirm you are of legal age in your jurisdiction.

2. The service

FlagChalk is a flag football coaching platform: a play designer, wristband and call sheet printing, rosters, practice plans, play grading, leaderboards, and related coaching tools. We grant you a limited, non-exclusive, non-transferable right to use the service within the plan you selected, for your own coaching purposes.

3. Your account

You must provide accurate information and keep it updated. You are responsible for keeping your account credentials confidential and for all activity under your account.

4. Acceptable use

You must not misuse the service. That includes, at a minimum:

  • Using the service for anything unlawful, fraudulent, or to send spam.
  • Infringing anyone's intellectual property rights.
  • Interfering with the security or operation of the service — including introducing malware, probing or scanning systems, or scraping the service at scale.
  • Reverse engineering, reselling, or redistributing the service, or circumventing plan limits.

5. Intellectual property

FlagChalk LLC retains all ownership of the service and its intellectual property, including the software, documentation, and branding. Your plays, rosters, and other content remain yours; you grant us a limited license to host and process that content solely to provide the service to you.

6. Payments, billing, and subscriptions

Paid plans are sold through our online reseller, Paddle. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically at the selected billing frequency (monthly or yearly) until cancelled. You can cancel at any time; access continues until the end of the paid period, and your plays and data remain available to export.

7. Service level

We work hard to keep FlagChalk fast and available, but we do not guarantee uninterrupted or error-free performance. The service is provided "as is" and we disclaim all implied warranties — including merchantability and fitness for a particular purpose — to the fullest extent permitted by law.

8. Suspension and termination

We may suspend or terminate access to the service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. When access ends, you may request an export of your data for a reasonable window before it is deleted.

9. Liability

To the fullest extent permitted by law, FlagChalk LLC is not liable for indirect, consequential, or special damages — including loss of profits, data, or goodwill. Our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury where the law does not allow it.

10. General

These Terms are governed by the laws of the State of Montana, United States, and disputes will be resolved in the state and federal courts located in Cascade County, Montana, unless mandatory local law gives you different rights. You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. We are not responsible for delays caused by events beyond our reasonable control. If any part of these Terms is unenforceable, the rest remains in effect.
